The proposal targets a specific category of digital assets—those structured as investment contracts, which fall under SEC jurisdiction—rather than all cryptocurrency. The Commission frames the rules as a purpose-built approach to determining when crypto assets constitute investment contracts under securities law.
The SEC noted that the proposal follows prior developments in its crypto policy. Full details are expected to be published for public comment, at which point issuers and platforms operating in the crypto asset space would gain clearer parameters governing their obligations.
